General Counsel
The Community
Builders, Inc. (TCB) is one of the country’s largest nonprofit developers of
mixed-income housing. Our mission
is to build and sustain strong communities where people of all incomes can
achieve their full potential. We do
this by developing, financing, and operating high quality affordable
mixed-income housing, by coordinating access to support services, and by
planning and implementing other community and economic initiatives critical to
the communities we serve. We are
currently in the search of a General Counsel to serve as the primary legal
advisor and a key strategic advisor for the organization.
The General Counsel
will be based in the Boston office and will have responsibility for all aspects
of corporate and transactional legal services. TCB is a leading innovator in leveraging
public and private financing to maximize community development impact. The General Counsel advances creative,
legally-sound solutions related to development structuring and corporate problem
solving. With TCB’s track record,
scale, and commitment to innovation, the General Counsel is part of a team that
frequently contributes new public policy ideas to HUD, Capitol Hill and other
housing policy leaders.
Specific responsibilities of the General Counsel include, but may not be
limited to, the following:
Essential
Functions:
TCB Senior
Leadership Team Member
TCB has over 500 employees in 14
states plus the District of Columbia. Management decisions about the
organization are made by the CEO in consultation with the eight members of the
Senior Leadership Team. The General
Counsel is a key Leadership Team contributor on both strategic and legal issues
and will help shape our growth and success.
Legal Department
Management and Administration
Management and administration of
the TCB Legal Team consisting of 5 attorneys and 3 support staff including
setting quality and service standards, arranging training, managing the
department’s budget, billing, collections and vendors, and managing staffing
assignments and workloads
Corporate
Representation
Strategic advice and legal
oversight of corporate formation and maintenance; counsel regarding TCB’s tax
exempt status; preparation and
implementation of corporate governance and compliance policies; drafting, review
and/or negotiation of contracts; and compliance and risk management
policies
TCB Board Relations
The
General Counsel is responsible for assembling votes put before the Board of
Directors. He/She is responsible
for taking minutes at Board meetings as Secretary for the organization and is
also the primary staffer for the Nominating and Governance Board
Subcommittee
Litigation
Tracking and representation or
engagement and management of outside counsel in connection with litigation,
defaults, claims, compliance, employment actions, fair housing, and select
occupancy related matters
Funding
Programs
Legal
and strategic advice related to TCB’s Neighborhood Stabilization Program II (NSP
II) grant, Capital Magnet Fund Grant, Choice Neighborhoods Implementation Grant,
New Markets Tax Credit Allocation, and other funding
streams
Legal Services to
Development Projects and Operating
Entities
Leadership
of transactional practice group representing TCB and/or affiliates in the
acquisition, development, construction, finance, operation, compliance and
disposition of affordable, mixed income and/or mixed use housing
developments
Public Policy
Contributions
to public policy initiatives that advance TCB’s mission
Knowledge,
Skills and Abilities:
§ Demonstrated ability
to be effective and exercise influence in a complex organization, and to
exercise excellent legal and business judgment in challenging
situations
§ Collaborative and
respectful management style
§ Superior academic
credentials and excellent analytical, writing and communication
skills
§ Admission to bar in
MA, CT, NJ, PA, OH, IL, IN, KY, NC, DC, NY, RI, MD, VA and/or
WV
§ Facility in
Microsoft Office programs (Word, Excel, Project, PowerPoint,
etc.)
Education
& Experience:
§ At least 10-15 years
experience as a practicing corporate and/or transactional attorney, with
demonstrated ability to manage complex transactions or projects
§ Experience training
and supervising legal staff and managing budgets
§ Experience with real
estate or construction, affordable housing and community development finance,
nonprofit organizations, or general corporate and employment law
§ Experience
creating and implementing policies or procedures in complex organizations is
preferred but not required
§ Commitment to
affordable housing and community development and knowledge of Low Income Housing
Tax Credit, Housing Choice Voucher Program and other key programs housing
through professional or personal experience is strongly preferred
