Representing the Closely Held Entity: how to avoid disputes and resolve them when they arise

Join our experienced panelists -- a Superior Court justice from the Business Litigation Session, three attorneys and an accountant -- as they discuss the issues that often arise while representing closely held entities, from formation to when the business is up and running.

Program faculty will offer their perspectives on how many problems can be avoided or alleviated at the time the entity is created. Discussion topics include:
  • Selecting the proper type of entity
  • The appropriate structure of funding
  • The importance and type of written agreements and other documents for the owners
  • Tax-compliance matters
Despite an attorney's best efforts, conflicts do occur. Panelists will also provide practical guidance on how to resolve disputes effectively and efficiently.

Attorneys who counsel closely held entities must successfully integrate both business and legal perspectives, advise on a variety of matters and understand the interpersonal relationships of its owners. One of the unique challenges is identifying the client and understanding how to handle situations where there are multiple, sometimes differing, interests involved. Particular emphasis will be given to ethical and privilege issues that may arise in such situations.
