This introductory program will provide participants with an overview of the terminology, process and documentation associated with the three basic mergers and acquisitions (M&A) transaction forms:

  • Asset purchase
  • Stock purchase
  • Private direct forward merger

Participants will gain a basic understanding of the tax implications relating to the alternative transaction forms, their respective advantages and disadvantages, the transaction stages, and supporting documentation. The intended audience consists of practitioners who have little or no M&A experience.
